Company Registration in Malta

Registered Office
As required by law, a Maltese company must have its registered office situated in Malta. The registered office address should be an effective address for the distribution of documents to the company and its officers. All the company statutory documentation is to be kept at the company’s registered office.

Malta Branch Establishment
While a Maltese branch is not considered a separate legal entity, it is still required to register with the Malta Business Registry within one month of commencing operations in Malta. Setting up a branch does not require a minimum share capital, and it is governed by laws and regulations similar to those of a registered Maltese company. Branches may also be eligible to apply for tax refunds on any Maltese tax liabilities.
Cross-Border Conversion
A company seeking to transfer its operations to Malta does not need to liquidate its existing operations and start anew. Through a cross-border conversion, the company can shift its domicile to Malta while retaining its original legal entity established in a foreign jurisdiction. To facilitate this process, a foreign company must submit a request for continuation to the Registrar of Companies, in the manner and form prescribed.
By moving its domicile to Malta, the company will comply with Maltese laws and regulations without the need to establish a new legal entity.
